1. Acceptance of Terms
By creating an account, accessing, or using the EmitIQ platform (“Service”), you (“Customer”) agree to be bound by these Terms of Service (“Terms”). If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization. If you do not agree to these Terms, you must not use the Service.
2. Service Description
EmitIQ provides a software-as-a-service (SaaS) platform for greenhouse gas (GHG) emissions tracking, calculation, and compliance reporting aligned with the GHG Protocol and California SB 253 (Climate Corporate Data Accountability Act) requirements.
EmitIQ provides calculation tools and reporting software only. EmitIQ does not provide legal, regulatory, tax, financial, or compliance advice. The Service is designed to assist your organization in preparing emissions data and generating reports, but it does not replace professional advisory services or independent verification.
3. User Responsibilities
As a Customer, you are responsible for:
- The accuracy, completeness, and legality of all data you upload to the platform.
- Reviewing and verifying all AI-extracted data and emissions calculations before using them in any regulatory submission.
- Maintaining the confidentiality and security of your account credentials.
- Ensuring that your use of the Service complies with all applicable laws, regulations, and industry standards, including SB 253 and the GHG Protocol.
- Obtaining all necessary consents and authorizations before uploading third-party data (including vendor or supplier data) to the platform.
4. Limitation of Liability
EmitIQ provides tools and calculations to assist with GHG emissions reporting. EmitIQ does not provide legal or regulatory advice, and the Customer is solely responsible for the accuracy of any submissions made to the California Air Resources Board (CARB) or any other regulatory body.
To the maximum extent permitted by applicable law, EmitIQ's total aggregate liability arising out of or related to these Terms or the Service shall not exceed the total fees paid by the Customer to EmitIQ during the twelve (12) months immediately preceding the event giving rise to the claim.
In no event shall EmitIQ be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if EmitIQ has been advised of the possibility of such damages.
5. Disclaimer of Warranties (“As-Is”)
The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory. EmitIQ expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
Emissions calculations are based on data provided by the Customer and publicly available emission factors. EmitIQ does not guarantee regulatory compliance. Emission factor databases are sourced from publicly available datasets (e.g., EPA, IEA, Climatiq) and may change over time. EmitIQ does not warrant the accuracy, completeness, or timeliness of any emission factors used in calculations.
6. Indemnification
The Customer agrees to indemnify, defend, and hold harmless EmitIQ, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- The Customer's use of, or reliance on, the Service or its outputs.
- Any regulatory submission made by the Customer based on data or reports generated through the Service.
- Any claim by a third party (including regulatory bodies such as CARB) arising from the Customer's emissions data, reports, or regulatory filings.
- The Customer's breach of these Terms.
- Any inaccuracy or incompleteness in the data provided by the Customer to the Service.
7. AI Data Extraction Disclaimer
The Service uses artificial intelligence (AI) models to extract data from uploaded documents (invoices, utility bills, fuel receipts, and similar records). AI extraction provides confidence scores for each extracted data point, but AI extraction is not a substitute for professional review.
The Customer is responsible for reviewing, verifying, and approving all AI-extracted data before it is used to create emissions records or generate compliance reports. Data points flagged as requiring manual review (confidence below 90%) should be verified against the source document before approval. EmitIQ is not liable for errors in AI-extracted data that the Customer has approved.
8. No Audit or Assurance Services
EmitIQ is a software platform, not an audit firm. The Service does not provide limited assurance, reasonable assurance, or any form of independent verification under ISAE 3000, ISAE 3410, or any comparable assurance standard. EmitIQ's audit trail and data quality features are designed to facilitate the Customer's own internal review processes and to support third-party audits, but they do not constitute an audit opinion or assurance engagement.
If your organization requires independent assurance of its GHG emissions data, you should engage a qualified third-party assurance provider.
9. No Direct Regulatory Submission
EmitIQ generates compliance reports for the Customer to download and review. The Customer is responsible for submitting reports to CARB or any other regulatory body. EmitIQ does not submit, file, or transmit any reports or data to regulatory authorities on the Customer's behalf. EmitIQ is a tool provider, not a reporting agent.
10. Intellectual Property
EmitIQ retains all rights, title, and interest in and to the platform, including its software, algorithms, user interface designs, and proprietary emission factor databases. You retain full ownership of all data you upload to the platform and all reports generated from your data. EmitIQ claims no ownership over your emissions data or reports.
11. Data Ownership & Portability
All emissions data, facility data, vendor data, and reports uploaded to or generated within the Service remain the property of the Customer. EmitIQ provides data export capabilities (CSV, PDF, evidence packets) to ensure the Customer can retrieve their data at any time. Upon account termination, EmitIQ will make the Customer's data available for export for thirty (30) days, after which data will be deleted, subject to applicable regulatory retention requirements.
12. Termination
Either party may terminate this agreement by providing thirty (30) days' written notice. EmitIQ may suspend or terminate access immediately if the Customer breaches these Terms or engages in activity that threatens the security or integrity of the Service. Upon termination, the Customer's right to use the Service ceases immediately. EmitIQ will retain emissions data and audit records for seven (7) years as required by SB 253 regulatory retention obligations, unless the Customer requests earlier deletion and such deletion is not prohibited by law.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California.
